Terms of Service

1. Acceptance of Terms

By accessing or using Agentic Harness ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you ("Client" or "you") and Agentic Harness, LLC ("Agentic Harness," "we," or "us").

2. Description of Service

Agentic Harness provides a software development and business operations service. We accept project submissions from clients, build software applications and related business infrastructure according to agreed specifications, and in some plans, assist with ongoing operations and growth.

The Service includes:

  • AI-assisted project intake and scoping
  • Custom software design, development, and delivery
  • Brand assets and product launch support
  • Optional ongoing operational support (plan-dependent)

We do not guarantee any particular business outcome, revenue, or market success for delivered software.

3. Payment Terms

Payment terms depend on the pricing plan selected at the time of project submission:

  • Starter ($4,900 per project): Full payment is due before work begins unless otherwise agreed in writing.
  • Growth ($9,900/month): Billed monthly in advance. Subscriptions auto-renew unless cancelled at least 7 days before the renewal date.
  • Scale (Custom): Payment terms are specified in a separate written agreement.

All prices are in USD. Payments are non-refundable once development work has commenced, except as required by applicable law or as explicitly stated in a separate project agreement. We reserve the right to suspend services for overdue accounts.

4. Intellectual Property Ownership

Client-owned deliverables: Upon full payment, you own the custom code, content, and assets specifically created for your project ("Deliverables"). You may use, modify, distribute, and commercialize your Deliverables freely.

Agentic Harness platform: Agentic Harness retains all rights to the Agentic Harness platform, including the intake system, workflow engine, AI pipelines, agent orchestration infrastructure, and any reusable frameworks, libraries, or tooling used to deliver projects. These are not transferred to clients and may not be reverse-engineered or reproduced.

Third-party components: Deliverables may include open-source libraries and third-party software. Your rights to those components are governed by their respective licenses, which we will disclose upon request.

5. No Warranty on Delivered Code

THE SERVICE AND ALL DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AGENTIC HARNESS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DELIVERED SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

Post-delivery support is available for the periods specified in your plan. After that period, ongoing support requires a separate agreement.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTIC HARNESS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS GOODWILL, OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY DELIVERABLES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO AGENTIC HARNESS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Client Responsibilities

You agree to:

  • Provide accurate and complete project requirements during intake
  • Respond to clarifying questions within a reasonable time to avoid delivery delays
  • Ensure you have the right to use any materials, trademarks, or content you provide to us
  • Not use Deliverables for unlawful purposes or in violation of applicable law
  • Maintain the security of your account credentials

8. Confidentiality

Each party agrees to keep confidential any non-public, proprietary information shared by the other party in connection with the Service ("Confidential Information"). Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law. This obligation survives termination of the agreement.

9. Termination

By you: You may cancel a monthly subscription at any time by contacting support@agenticharness.ai at least 7 days before your renewal date. Cancellation stops future billing; no refunds are issued for the current billing period.

By us: We may suspend or terminate your account immediately, without notice, if you breach these Terms, fail to pay amounts owed, or engage in conduct that we determine, in our sole discretion, is harmful to Agentic Harness, other clients, or third parties.

Upon termination, your right to access the platform ends, but any ownership rights in already-paid Deliverables remain with you.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or Confidential Information.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
